Description of my issue:

A directory in root named cli is there which has a file with name admintools - I am wondering if it is a legit directory or a hack job?

It's legitimate. I would, however, like to know which is the exact version of Joomla! and Admin Tools you are installing. Normally, the cli contents are only copied to your site if you have Joomla! 1.7 or later, in which case the cli directory already exists.
